Welcome to Oceanhood Inc. (“Oceanhood,” “Company,” “we,” “our,” or “us”).
Oceanhood Inc. operates an online marketplace platform that connects independent merchants, suppliers, service providers, and buyers, including maritime vessels, ship operators, seafarers, and commercial entities worldwide (collectively, the “Platform”).
By accessing or using the Platform, website, applications, communication systems, payment integrations, or any related services (collectively, the “Services”), you agree to be bound by these Conditions of Use (“Terms”), on behalf of yourself and any entity you represent.
Please read these Terms carefully before using the Services.
MARKETPLACE ROLE
Oceanhood Inc. operates solely as an independent marketplace facilitator and technology platform provider.
Oceanhood:
- Does not manufacture, own, inspect, warehouse, or physically deliver products sold through the Platform
- Is not the buyer or seller of goods unless expressly stated otherwise in writing
- Does not guarantee product quality, merchant performance, legality, regulatory compliance, shipping timelines, or suitability for any purpose
- Does not act as a freight forwarder, customs broker, shipping carrier, or insurer
Transactions conducted through the Platform are entered into directly between buyers and independent third-party merchants or suppliers.
Oceanhood may facilitate communications, payment processing, invoicing, and transaction administration but is not a party to the underlying sales contract between users.
ELIGIBILITY
You must be at least 18 years old and legally capable of entering binding agreements to use the Services.
If you use the Services on behalf of a corporation, vessel operator, maritime employer, or other legal entity, you represent that you have authority to bind that entity to these Terms.
ACCOUNT RESPONSIBILITIES
You are responsible for:
- Maintaining the confidentiality of your login credentials
- Restricting unauthorized access to your account
- Ensuring all account information is accurate and current
- All activities conducted under your account
Oceanhood reserves the right to suspend or terminate accounts at its sole discretion, including for suspected fraud, sanctions violations, unlawful conduct, abuse of the Platform, or non-payment.
INTERNATIONAL MARITIME TRANSACTIONS
Users acknowledge that transactions may involve:
- International shipping
- Customs clearance
- Port delivery restrictions
- Vessel scheduling changes
- Maritime regulations
- Export/import laws
- Delays caused by weather, port authorities, labor disputes, sanctions, or government actions
Oceanhood shall not be liable for delays, seizures, customs holds, denied port access, missed vessel departures, or losses arising from international maritime logistics.
Users are solely responsible for compliance with all local, national, and international laws applicable to their transactions.
PAYMENT PROCESSING
Payments on the Platform may be processed through third-party providers including, but not limited to:
- Stripe
- Revolut Business
- Banks and financial institutions
Oceanhood does not control and is not responsible for third-party payment systems, banking delays, currency conversion rates, frozen accounts, declined transactions, fraud investigations, chargebacks, or financial service interruptions.
Users agree that separate terms and policies of payment providers may apply.
USER CONTENT
Users may submit reviews, comments, product listings, photographs, specifications, vessel information, communications, and other materials (“User Content”).
By submitting User Content, you grant Oceanhood a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, publish, display, and distribute such content in connection with operating and promoting the Services.
You represent that:
- You own or control the rights to the content submitted
- Your content does not violate laws or third-party rights
- Your content is accurate and not misleading
Oceanhood reserves the right, but not the obligation, to remove or modify User Content.
PROHIBITED ACTIVITIES
You may not use the Services to:
- Violate applicable laws or regulations
- Engage in fraud or deceptive trade practices
- Sell counterfeit, prohibited, dangerous, or illegal products
- Violate export controls or sanctions laws
- Upload malicious code or interfere with Platform operations
- Scrape, harvest, or misuse Platform data
- Infringe intellectual property rights
- Circumvent payment systems or platform fees
Oceanhood reserves the right to investigate violations and cooperate with law enforcement authorities.
INTELLECTUAL PROPERTY
All Platform content, including logos, software, graphics, trademarks, databases, and website design, are owned by Oceanhood Inc. or its licensors and protected by intellectual property laws.
No portion of the Services may be copied, reproduced, distributed, reverse engineered, or commercially exploited without prior written consent from Oceanhood.
THIRD-PARTY SERVICES
The Platform may contain links or integrations with third-party websites, merchants, logistics providers, insurers, customs brokers, or software systems.
Oceanhood does not control and is not responsible for third-party services, products, actions, content, or policies.
Users access third-party services at their own risk.
DISCLAIMER OF WARRANTIES
- THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCEANHOOD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF INFORMATION
- UNINTERRUPTED PLATFORM ACCESS
Oceanhood does not guarantee that the Platform will be error-free, secure, uninterrupted, or free from harmful components.
LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OCEANHOOD INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR:
- INDIRECT OR CONSEQUENTIAL DAMAGES
- LOST PROFITS OR REVENUE
- LOSS OF DATA
- BUSINESS INTERRUPTION
- SHIPPING DELAYS
- VESSEL MISSED DEPARTURES
- PRODUCT DEFECTS
- CUSTOMS SEIZURES
- PAYMENT LOSSES
- THIRD-PARTY MISCONDUCT
IN NO EVENT SHALL OCEANHOOD’S TOTAL LIABILITY EXCEED THE GREATER OF:
- THE FEES PAID TO OCEANHOOD FOR THE RELEVANT TRANSACTION; OR
- USD $500
INDEMNIFICATION
You agree to indemnify and hold harmless Oceanhood Inc. and its affiliates from claims, liabilities, damages, losses, and expenses arising from:
- Your use of the Services
- Your violation of these Terms
- Your transactions with third parties
- Your breach of laws or regulations
- Your submitted content
SANCTIONS AND EXPORT COMPLIANCE
Users may not use the Services in violation of U.S., EU, UK, UN, or other applicable sanctions laws or export regulations.
Oceanhood reserves the right to block transactions, freeze accounts, or terminate Services where sanctions or compliance concerns exist.
GOVERNING LAW
These Terms shall be governed by and construed under the laws of the State of Delaware, United States, without regard to conflict of law principles.
Any disputes arising from these Terms shall be resolved exclusively in the state or federal courts located in Delaware, and users consent to the jurisdiction of those courts.
Both parties waive any right to trial by jury.
MODIFICATIONS
Oceanhood reserves the right to modify these Terms at any time.
Updated versions become effective upon posting on the Platform.
Continued use of the Services after modifications constitutes acceptance of the revised Terms.
SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions shall remain fully valid and enforceable.
